Holistic Health Practitioners of Eastern North Carolina Bylaws
ARTICLE I - NAME
The name of this organization shall be Holistic Health
Practitioners of Eastern North Carolina, referred to herein as HHP.
ARTICLE II - PURPOSE
The purpose of HHP shall be to:
- Provide educational opportunities for the professional
growth and development of holistic health practitioners;
- Foster communication and cooperation among individuals and
organizations involved in holistic health education.
- Promote holistic health throughout the community at-large.
ARTICLE III - MEMBERSHIP
Section 1. Categories
Membership shall be Active, Associate/Student and
Corporate/Business.
Section 2. Qualifications and Privilege
The qualification and privileges for the various categories of
membership shall be as follows:
a. Active Member shall be a holistic health professional
providing direct holistic health. If a license is required to
practice, such license shall be valid.
b. Associate/Student Member shall be any person with an interest
in holistic health education and shall have all privileges of
Active membership except the right to vote, make nominations or
hold elective office.
c. Corporate/Business Member shall be any individual members of
industry engaged in the production or sale of products or
services useful to holistic health practitioners and shall have
all privileges of membership except the right to vote, to make
nominations, or to hold elective office. An Active Corporate
member may serve on a committee but shall not serve as chair.
Section 3. Application of Membership
a. All applicants shall complete and sign the application
form provided by the Secretary and submit the completed
application with the first year's dues. If licensure is required
for a specialty, proof of such licensure shall be presented to
the Membership committee upon request. The Membership Committee
reviews applications and submits qualified and approved
recommendations for membership at the next regularly scheduled
Board meeting. The secretary shall notify the applicants of
membership action.
b. Applicants may submit both application and dues online at the
HHP website. In either case, HHP requires that all applicants
read, understand and agree to abide by the bylaws of HHP.
Applicants who complete the process online will have provisional
membership status until the above process is completed.
Section 4. Good Standing
A member whose dues are paid for the current calendar year shall
be considered a member in good standing. All membership privileges
shall cease if dues are not paid within 30 days after the start of
the calendar year.
Section 5. Resignation
Any member may, upon written request to the President, withdraw
from membership, but such resignation shall not relieve the member
of the obligation to pay any dues or other charges accrued and
unpaid. No dues or fees shall be refunded to any person whose
membership terminates for any reason after the passage of the
first 30 days of the calendar year.
Section 6. Termination of Membership
Termination of membership shall be based on the same criteria as
for initial membership.
ARTICLE IV - FINANCES
Section 1. Dues
All categories of membership shall pay such annual dues, unless
otherwise stated and voted upon by the general membership. Dues
shall be for the membership year January 1 to December 31. The
dues shall not be prorated.
Section 2. Maintenance of Funds
The Treasurer shall be the keeper of the funds. All dues shall be
deposited in an FDIC bank. An annual financial report shall be
submitted to the Officers for approval.
Section 3. Membership Year
The membership year shall be from January 1 to December 31 and
dues shall be payable on or before the first meeting in February.
Section 4. Annual Audit
An annual audit shall be conducted at the end of each term before
the first meeting of the new year, the manner and terms of which
shall be agreed upon by the members present at the September
general meeting.
Section 5. Annual Budget
The Treasurer shall submit a proposed budget to the Officers for
approval by October 15th for presentation at the November meeting
to the membership.
ARTICLE V - MEETINGS AND VOTING
Section 1. Meetings
General meetings shall be held monthly. Such place shall be
announced to the membership by the Secretary. Special meetings may
be called by the President as necessary provided a written notice
of such action is sent to every member at least 30 days prior to
the scheduled meeting date.
Section 2. Privileges of Voting Membership
The voting membership shall:
a. Make decisions for HHP by receiving reports and adopting
policy.
b. Amend the Bylaws on recommendation of the Board of Directors.
c. Nominate and elect officers.
d. Adopt the Budget.
e. Conduct other business which may properly come before it.
f. Chair and/or serve on a committee.
Section 3. Voting
A vote by mail, email or fax may be authorized by the Board of
Directors or as specified by these bylaws.
Section 4. Quorum
The members present at a regularly scheduled and publicized
meeting shall be considered a quorum.
ARTICLE VI - OFFICERS
Section 1. Name
The elected officers of HHP shall be President, Vice President,
Secretary and Treasurer. If circumstances require, the position of
Secretary may be filled by two individuals; a Secretary and a
co-Secretary.
Section 2. Eligibility
Only an Active Member shall serve as an elected officer.
Section 3. Terms
All officers shall hold office for a term of one year and shall
take office at the first regular meeting of the year following
election. Any one office shall not be held longer than two
consecutive terms by any one person.
Section 4. Nominations and Elections
a. Nomination for office is made as specified in Article VII,
Section 2.
b. Election shall be by written ballot at the December general
meeting. A simple majority vote of ballots cast by members
present shall elect. Refer to Article VII, Section 3.
Section 5. Vacancy
In the event the office of President becomes vacant, the Vice
President shall serve as President for the unexpired term.
Section 6. Duties
a. President - The President shall:
- serve as presiding officer of all regular and special
meetings of the general membership and Board meetings;
- cast the deciding vote in case of a tie;
- be an ex-officio member of every committee except the
Nominating Committee;
- the outgoing president shall become a member of the Board
for the following year;
- perform such other duties as directed by the Board or as
assigned by these Bylaws.
b. Vice-President - The Vice-President shall:
- assume the duties of the President in the absence of both
the President;
- succeed to the office of President-Elect in the event of
vacancy;
- perform such other duties as assigned by these Bylaws.
- assist the President with all functions of the position;
- if unable to attend monthly or board meetings, arrange for
another board member to cover any responsibilities;
- perform such other duties as directed by the Board or as
assigned by these Bylaws.
c. Secretary - The Secretary shall:
- oversee the proper recording of the proceedings of all
meetings;
- Send out the minutes of the meetings to the membership;
- Chair a Bylaws Committee;
- be an ex-officio member of the publications committee;
- perform such other duties as directed by the Board or as
assigned by these Bylaws.
d. Co-Secretary – The co-Secretary shall act under the
supervision of the
Secretary and shall:
- oversee the proper recording of the proceedings of the
meetings attended,
- send out the minutes of such meetings to the membership.
- perform such other duties as directed by the Secretary or
as assigned by
these Bylaws.
e. Treasurer - The Treasurer shall:
- supervise the financial affairs of the association and
take appropriate action regarding the finances of HHP at the
direction of the Officers and/or as directed by the majority
of the membership;
- serve as member of the Membership Committee;
- prepare a monthly Treasurer’s Report to be presented at
the membership meeting or posted online;
- perform such other duties as directed by the Board or as
assigned by these Bylaws.
ARTICLE VII - NOMINATIONS AND ELECTIONS
Section 1. Elections
Annually, there shall be the election of four officers.
Section 2. Nominations
a. The Nominating Committee shall present a slate of at least
one candidate for each office.
b. Recommendations for elective positions may be made to the
Nominating Committee by written petition requiring signatures of
the nominee and two additional Active members. The petition must
be received by the Nominating Committee no later than the
October general meeting.
Section 3. Election Procedure
a. The slate of nominees shall be presented in writing by the
Nominating Committee to the membership at or before the November
meeting;
b. Election of officers shall be held in December by a simple
majority of the active members present.
c. Results of the election shall be announced at the December
general meeting.
d. The new officers shall assume their responsibilities January
1.
ARTICLE VIII - COMMITTEES AND THE BOARD
Section 1. The Board
The board shall consist of the Officers, the Committee Chairs and
the past President.
Section 2. Standing Committees
Standing committees shall be Membership-Hospitality, Public
Relations-Program, Communication-Publicity, Nominating, and
Bylaws.
Section 3. Special Committees:
Special (ad hoc) committees may be formed by the Board as directed
by the membership.
Section 4. General Procedures
a. With the exception of the Bylaws Committee, the individual
committees shall choose their chairs. All chairs must be Active
or Associate/Student members.
b. The President shall by ex-officio member of all committees
except the
Nominating Committee.
c. Committee Chairs shall report to the membership.
Section 5. Duties
a. Membership-Hospitality Committee - shall:
- periodically review membership requirements
- shall assist with membership recruitment;
- shall review and approve applicants for membership;
- shall be responsible for completion of the membership
roster for general distribution by the Secretary;
- shall issue cancellation of membership for non-payment of
dues or voluntary cancellation.
- perform such other duties as directed by the Board or as
assigned by these Bylaws
b. Public Relations-Program Committee - shall arrange for
education programs for
- HHP members and shall arrange for professional education
seminars on holistic health related subjects for area holistic
health professionals;
- perform such other duties as directed by the Board or as
assigned by these Bylaws.
c. Communications-Publicity Committee - shall:
- be responsible for communicating the activities of HHP to
its membership and to the general public as is deemed
appropriate by the Board.
- perform such other duties as directed by the Board or as
assigned by these Bylaws.
d. Nominating Committee - shall be composed of the immediate
past President as chair and two Active members appointed by the
President. The committee shall function as specified in Article
VII.
e. Bylaws Committee - shall annually review the Bylaws and make
recommendations for amendments as indicated.
ARTICLE IX - DISSOLUTION
If this association is dissolved at any time, its assets shall be
distributed to similar nonprofit organizations to be selected by
the Officers.
ARTICLE X - PARLIAMENTARY AUTHORITY
The rules contained in Robert's Rules of Order Newly Revised
(current edition) shall be used as the spirit and guidelines for
the decisions of HHP at all levels of the organization in all
cases where the guidelines do not conflict with the Bylaws of HHP
or the adopted policies and procedures.
ARTICLE XI - AMENDMENTS
These Bylaws may be amended upon the recommendation of the
officers and a simple majority of the active membership that votes
either in person, by fax, or email. Such proposed changes shall be
submitted to the membership at a monthly meeting for discussion.
Proposed revisions shall be presented to the membership within one
week of the meeting and a final or revised draft of the proposed
changes shall be submitted to the membership for their approval at
the next monthly meeting. Members voting by fax or email must have
their ballots returned to the Secretary within one week of the
meeting at which the vote was taken.
